These Terms of Service ("Terms") govern access to and use of the website operated by Texas Research Labs LLC, doing business as Texas Research Labs ("Texas Research Labs," "TRL," "Company," "we," "us," or "our"), including its pages, content, forms, ordering systems, products, communications, and related services collectively referred to as the "Website." By entering the Website, submitting information, creating an account, communicating with us regarding a product, or placing an order, you agree to be legally bound by these Terms, our Research-Use Disclaimer, Privacy Policy, Shipping Policy, and Return and Refund Policy, each of which is incorporated into these Terms by reference. If you do not agree, do not access the Website or purchase our products.

1. Eligibility

You must be at least 21 years old and legally capable of entering into a binding agreement to access restricted portions of the Website or purchase products. By using the Website, you represent and warrant that: - you satisfy these eligibility requirements; - the information you provide is truthful, current, and complete; - you are not prohibited by law from purchasing, possessing, or using the products; - you are acting for a lawful research purpose; and - you are not acting on behalf of a person who intends to use a product for human or animal consumption or administration. We may reject, suspend, restrict, or terminate access to any person or entity at our discretion when we believe these requirements have not been satisfied.

2. Research-Use Products

All products sold through the Website are offered strictly for lawful laboratory, analytical, educational, or scientific research use unless expressly stated otherwise in writing by Texas Research Labs. Products are not offered or intended for: - human or animal consumption; - human or animal injection or administration; - medical treatment or diagnosis; - veterinary treatment or diagnosis; - preparation or compounding of drugs; - preparation of dietary supplements, foods, beverages, cosmetics, or personal-care products; - household or personal use; or - any other clinical, therapeutic, recreational, or unlawful purpose. The Research-Use Disclaimer contains additional mandatory conditions and is incorporated into these Terms.

3. No Medical, Veterinary, or Professional Advice

The Website does not provide medical, pharmaceutical, veterinary, toxicological, regulatory, or legal advice. Website content is provided only for general educational and research-related purposes. No communication from Texas Research Labs should be understood as a diagnosis, prescription, treatment recommendation, dosing instruction, administration protocol, or representation that a product is safe or effective for human or animal use. You must independently consult appropriately qualified professionals regarding legal compliance, laboratory safety, research design, and any other professional matter.

4. Customer Verification and Order Review

We reserve the right to verify the identity, age, qualifications, intended use, payment information, shipping information, or institutional affiliation of any purchaser. We may require a purchaser to complete a research-use certification or provide other documentation before accepting or fulfilling an order. We may refuse, limit, place on hold, or cancel any order when: - information is incomplete, inconsistent, or unverifiable; - we suspect fraud, payment abuse, diversion, resale, or prohibited use; - the quantity or ordering pattern appears inconsistent with legitimate research; - the shipping destination presents legal, safety, sanctions, or carrier concerns; - the product is unavailable or incorrectly priced; - fulfillment would violate law, regulation, company policy, or a payment-provider requirement; or - we otherwise determine that accepting the order would create an unreasonable legal, regulatory, safety, or business risk. An order confirmation does not constitute final acceptance. A sales contract is formed only when we expressly accept the order and release it for fulfillment.

5. Product Information

We attempt to describe products accurately, but research materials may vary between batches and may be affected by manufacturing, testing, storage, shipping, environmental, and analytical conditions. Product photographs, vial images, packaging images, graphics, colors, dimensions, and illustrations are representative and may not precisely reflect the delivered product. We do not warrant that descriptions, specifications, availability, analytical information, pricing, or other Website content is error-free, complete, current, or suitable for a particular research application. We may correct errors, modify specifications, update content, discontinue products, or cancel affected orders at any time.

6. Analytical Documentation

Certificates of analysis and other test results apply only to the specific batch or sample identified in the document and the methodology used by the testing laboratory. Testing results do not constitute a warranty of clinical suitability, safety, efficacy, sterility, or fitness for human or animal use. Unless expressly agreed in a signed writing, the purchaser remains responsible for conducting independent confirmatory testing appropriate to the purchaser's research.

7. Prices, Taxes, and Payment

Prices are stated in United States dollars unless otherwise noted and may change without notice. You agree to pay: - the listed purchase price; - applicable sales, use, excise, customs, import, or similar taxes; - shipping, handling, insurance, or processing charges disclosed before completion of the order; and - any fees resulting from rejected, reversed, disputed, or fraudulent payments, to the extent permitted by law. You represent that you are authorized to use the payment method submitted. Payment through a third-party service, including PayPal, Venmo, Cash App, Zelle, or another provider, is also governed by that provider's separate terms. Texas Research Labs is not responsible for the acts, omissions, interruptions, holds, account restrictions, security practices, or dispute decisions of a third-party payment provider. No payment memo, payment description, private message, or customer instruction may alter the research-use status of a product or these Terms.

8. Shipping and Delivery

Shipping and delivery estimates are estimates only and are not guarantees. You are responsible for providing a complete and accurate delivery address. We are not responsible for loss, delay, return, temperature exposure, deterioration, or misdelivery caused by: - an incorrect or incomplete address; - customer unavailability; - carrier delay or error; - weather; - customs or governmental action; - theft after delivery; - refusal or failure to accept delivery; - force majeure; or - circumstances outside our reasonable control. Risk of loss and title transfer to the purchaser upon delivery to the carrier, except where applicable law requires otherwise. The purchaser is responsible for inspecting the shipment promptly upon receipt and following appropriate storage requirements.

9. International and Restricted-Jurisdiction Orders

The purchaser is solely responsible for confirming that each product may lawfully be ordered, imported, possessed, stored, and used in the destination jurisdiction. We do not guarantee customs clearance or regulatory acceptance. Any customs duty, import tax, permit, broker fee, seizure, destruction, return, or governmental charge is the purchaser's responsibility unless applicable law provides otherwise. We may decline to ship to any jurisdiction, location, person, or entity.

10. Order Problems and Inspection Period

You must inspect each shipment promptly. Claims involving an incorrect item, visibly damaged shipment, missing item, or material packaging discrepancy must be submitted in writing to info@texasresearchlabs.com within forty-eight hours after confirmed delivery. The claim must include: - the order number; - a description of the issue; - photographs of the shipping container, label, packaging, and affected product; - the lot or batch number, when applicable; and - any other information reasonably requested. Failure to provide timely notice may result in denial of the claim to the extent permitted by law. Do not discard the product or packaging while a claim is under review.

11. Returns and Refunds

Due to the nature of research materials and the inability to verify storage, handling, chain of custody, or contamination after delivery, products are generally not eligible for return once shipped. Returns may be accepted only with prior written authorization from Texas Research Labs. Unauthorized returns may be refused or destroyed without credit. Unless required by law, refunds or replacements are limited to situations in which Texas Research Labs confirms that: - an incorrect product was shipped; - an item was omitted; - a product was materially damaged before delivery; or - another remedy is expressly approved by us in writing. Shipping charges, payment-processing fees, and transaction fees may be nonrefundable unless the return resulted solely from our verified error. No refund will be issued for: - buyer's remorse; - improper storage or handling; - unauthorized use; - reconstitution or alteration; - subjective dissatisfaction; - inability to use a product for a prohibited purpose; - customs action; - carrier delay outside our control; or - a purchaser's misunderstanding of the product's research-use status. Nothing in this section limits any nonwaivable consumer rights provided by applicable law.

12. Chargebacks and Payment Disputes

Before initiating a payment dispute or chargeback, you agree to contact us at info@texasresearchlabs.com and provide a reasonable opportunity to investigate and address the issue. Initiating a knowingly false, misleading, or fraudulent chargeback may result in account termination, cancellation of pending orders, refusal of future service, and referral to the applicable payment provider or law-enforcement authority. This section does not prevent a purchaser from exercising a lawful right to dispute an unauthorized or genuinely improper transaction.

13. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account. You must notify us promptly at info@texasresearchlabs.com if you suspect unauthorized access, identity theft, or fraudulent activity. We may suspend or terminate accounts to protect the Company, customers, payment providers, or third parties.

14. Prohibited Conduct

You may not use the Website or our products to: - violate any federal, state, local, foreign, or institutional law or rule; - purchase products for human or animal use; - obtain dosing, administration, injection, or treatment advice; - make false or misleading medical or therapeutic representations; - resell or distribute products as drugs, dietary supplements, cosmetics, foods, or products for human or animal consumption; - impersonate another person or misrepresent your qualifications or intended use; - engage in fraud, payment abuse, chargeback abuse, diversion, or money laundering; - interfere with Website security or operation; - introduce malware, scrape protected content, or attempt unauthorized access; - copy or exploit Website materials for a competing commercial purpose; - violate another party's intellectual-property, privacy, or contractual rights; or - assist another person in engaging in prohibited conduct.

15. Intellectual Property

The Website and its content, including the Texas Research Labs name, TRL name, logos, designs, labels, graphics, photographs, text, product organization, page layout, and educational materials, are owned by or licensed to Texas Research Labs and are protected by applicable intellectual-property laws. We grant you a limited, revocable, nonexclusive, nontransferable license to access the Website for lawful personal or internal research-related evaluation. You may not reproduce, modify, distribute, sell, license, frame, scrape, republish, or commercially exploit Website content without our prior written permission.

16. User Submissions and Communications

When you send us reviews, photographs, comments, questions, suggestions, or other nonconfidential material, you represent that you have the right to submit it and that it does not violate the rights of another person. You grant Texas Research Labs a nonexclusive, worldwide, royalty-free license to use, reproduce, and display the submission for legitimate business purposes, subject to our Privacy Policy. We are not obligated to publish or retain user content. We may remove content that contains medical claims, dosing information, prohibited-use statements, unlawful content, or misleading representations.

The Website may link to publications, laboratories, payment providers, shipping carriers, social-media platforms, or other third-party resources. Links are provided for convenience only and do not constitute endorsement, sponsorship, or a warranty of accuracy. Texas Research Labs does not control and is not responsible for third-party content, availability, security, privacy practices, products, services, or conduct.

18. Privacy

Our collection and use of personal information is described in our Privacy Policy. You acknowledge that internet transmission and electronic storage cannot be guaranteed to be completely secure. You are responsible for avoiding the submission of unnecessary medical information, sensitive health information, or other information not requested by us. Texas Research Labs is not a healthcare provider, health plan, healthcare clearinghouse, pharmacy, or medical practice, and communications with us should not be assumed to be protected by physician-patient privilege or healthcare confidentiality laws.

19. Electronic Communications and Signatures

By using the Website or providing your contact information, you consent to receive transactional communications electronically, including order confirmations, invoices, policy notices, verification requests, and shipping updates. You agree that electronic records, acceptance checkboxes, digital confirmations, and electronic signatures satisfy any legal requirement that a communication or agreement be in writing. Marketing messages will be governed by applicable law and any consent or opt-out options presented to you.

20. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE, PRODUCTS, CONTENT, DOCUMENTATION, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. TEXAS RESEARCH LABS DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF: - MERCHANTABILITY; - FITNESS FOR A PARTICULAR PURPOSE; - TITLE; - NON-INFRINGEMENT; - ACCURACY; - COMPLETENESS; - QUIET ENJOYMENT; - COURSE OF DEALING; - USAGE OF TRADE; - CLINICAL SAFETY OR EFFICACY; - SUITABILITY FOR HUMAN OR ANIMAL USE; AND - COMPLIANCE WITH THE PURCHASER'S PARTICULAR RESEARCH REQUIREMENTS. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY PRODUCT WILL PRODUCE A PARTICULAR RESEARCH RESULT. Some jurisdictions do not permit the exclusion of certain warranties. In those jurisdictions, the exclusions apply only to the extent permitted by law.

21. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TEXAS RESEARCH LABS AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUPPLIERS, LABORATORIES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, PERSONAL INJURY, PROPERTY DAMAGE, LOSS OF RESEARCH MATERIAL, OR REGULATORY LOSS, ARISING FROM OR RELATED TO: - THE WEBSITE; - A PRODUCT; - PRODUCT HANDLING, STORAGE, TRANSFER, OR USE; - UNAUTHORIZED OR PROHIBITED USE; - THIRD-PARTY SERVICES; - SHIPPING OR DELIVERY; - RELIANCE ON WEBSITE CONTENT; OR - THESE TERMS. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF TEXAS RESEARCH LABS ARISING FROM OR RELATING TO A PRODUCT, ORDER, OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO TEXAS RESEARCH LABS FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM. These limitations apply regardless of the legal theory asserted and even if a party was advised that damages were possible. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

22. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Texas Research Labs and its owners, members, managers, officers, employees, contractors, affiliates, suppliers, laboratories, and agents from claims, liabilities, losses, judgments, penalties, damages, costs, and reasonable attorneys' fees arising from or relating to: - your breach of these Terms or the Research-Use Disclaimer; - your handling, storage, testing, transfer, resale, relabeling, or use of a product; - human or animal use of a product by you or a person obtaining it through you; - your violation of law or institutional policy; - your infringement of another person's rights; - inaccurate representations concerning your qualifications or intended use; or - medical, therapeutic, dosing, safety, or efficacy claims made by you. This obligation does not apply to the extent a claim is finally determined to have resulted from conduct for which indemnification cannot lawfully be required.

23. Suspension and Termination

We may suspend or terminate Website access, cancel orders, refuse future transactions, or take other reasonable protective action when we believe a user has: - violated these Terms; - misrepresented an intended use; - engaged in prohibited conduct; - created legal, safety, payment, reputational, or regulatory risk; or - acted contrary to the research-only nature of the business. Sections that by their nature should survive termination will remain effective, including provisions concerning intellectual property, disclaimers, liability, indemnification, disputes, and governing law.

24. Governing Law

These Terms and any dispute arising from or relating to the Website, products, or transactions are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

25. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Before initiating a formal claim, the complaining party must send written notice describing the dispute and requested relief. The parties will attempt in good faith to resolve the matter informally for at least thirty days after receipt of the notice. If the dispute is not resolved, any claim arising from or relating to these Terms, the Website, a product, or a transaction will be resolved through individual binding arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules, as appropriate. The arbitration will take place in Collin County, Texas, unless applicable rules or law require another location or permit remote proceedings. The arbitrator may award relief available under applicable law but may not consolidate claims or preside over a representative or class proceeding. Either party may bring an eligible individual action in small-claims court. Texas Research Labs may also seek temporary or injunctive relief in court to prevent intellectual-property infringement, fraud, unauthorized resale, prohibited use, or misuse of confidential information.

26. Class-Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION. If this waiver is determined to be unenforceable as to a particular claim, that claim must proceed in a court of competent jurisdiction and not in arbitration.

27. Jury-Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE NOT SUBJECT TO ARBITRATION.

28. Venue

For disputes that are not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state courts located in Collin County, Texas, or, when federal jurisdiction exists, the United States District Court serving that county.

29. Force Majeure

Texas Research Labs is not liable for delay or failure caused by circumstances outside its reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labor disruption, power or internet outage, cyberattack, carrier interruption, supply shortage, governmental action, customs action, or changes in law.

30. Changes to These Terms

We may revise these Terms periodically. Updated Terms become effective when posted, unless a later effective date is stated. The "Last Updated" date will identify the most recent revision. Your continued use of the Website after updated Terms become effective constitutes acceptance of the revised Terms. Material changes will apply prospectively to the extent required by law.

31. Severability

If any provision is found invalid or unenforceable, it will be enforced to the greatest extent permitted, and the remaining provisions will remain in effect.

32. No Waiver

A failure to enforce any provision does not waive that provision or the right to enforce it later.

33. Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. Texas Research Labs may assign these Terms in connection with a merger, sale, reorganization, financing, transfer of assets, or change in control.

34. Entire Agreement

These Terms, together with the Research-Use Disclaimer, Privacy Policy, Shipping Policy, Return and Refund Policy, and any product-specific written terms, constitute the entire agreement between you and Texas Research Labs concerning the Website and applicable transactions. Customer purchase orders, payment notes, emails, messages, or other customer-generated terms do not amend these Terms unless expressly accepted in a writing signed by an authorized representative of Texas Research Labs.
